1. Agreement to Terms
By accessing or using ReplyStars ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users.
2. Description of Service
ReplyStars is a local business customer growth system that helps businesses collect honest reviews, prepare professional review replies, record customer activity, send approved follow up, manage customer rewards and referrals, and understand progress. Reviews are one part of the Service, alongside customer capture, loyalty, Win Back, referrals, analytics, and multi location management where available.
3. Provider Identity
ReplyStars is operated by Vivan Shah as an individual data controller based in Belgium. For any contractual, data-protection, or billing question you can reach the operator at support@replystars.com. Written correspondence concerning the Service should be sent to: Vivan Shah, Fazantenlaan 26, 2610 Antwerp, Belgium. If Vivan Shah later incorporates or otherwise nominates a legal entity as operator, these terms will be updated and users will be given advance notice.
4. Account Registration
To use the Service, you must create an account with accurate information. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old or have the legal authority to enter into this agreement on behalf of a business.
5. Pricing
ReplyStars offers paid monthly plans. Your first charge is made when you complete Stripe checkout, and renewals are billed monthly until you cancel. We do not offer a free trial. Plan features and prices are shown before checkout.
6. Account Closure
You may close your account at any time through your account settings or by contacting support@replystars.com. Upon account closure your data is retained for thirty (30) days so you can reactivate without data loss, after which it is permanently deleted. See our Privacy Policy for full data-retention details.
7. Acceptable Use
You agree not to:
- Use the Service to post fake, misleading, or spam reviews
- Violate Google's terms of service or review policies
- Attempt to reverse engineer or copy the Service
- Use the Service for any illegal purpose
- Share your account credentials with unauthorized parties
- Overload or disrupt the Service infrastructure
8. Intellectual Property
ReplyStars owns all rights to the platform, software, design, and branding. You retain ownership of your business data, review content, and any data you provide. AI-generated response drafts become your property once generated. You grant ReplyStars a limited license to process your data solely for providing the Service.
9. Third-Party Services
ReplyStars integrates with third-party services including Google Business Profile, Stripe, and OpenAI. Your use of these services is subject to their respective terms. ReplyStars is not responsible for changes, outages, or policy updates from third-party providers.
10. Limitation of Liability
The Service is provided "as is" and "as available," without warranties of any kind (express or implied) beyond those that cannot lawfully be excluded. We do not guarantee that AI-generated response drafts will be perfect, appropriate, or error-free; you are solely responsible for reviewing and approving every message before it is sent or posted on your behalf.
To the fullest extent permitted by applicable law, the operator's aggregate liability for any claim arising from or relating to the Service, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, is capped at the total amount you actually paid for the Service in the twelve (12) months immediately preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunities.
Nothing in these terms excludes or limits liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. If you are a consumer under Spanish or EU law, your mandatory statutory rights are not affected by this section.
11. Force Majeure
Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, strikes, government orders, changes in law, internet or telecommunications failures, cloud or hosting-provider outages, third-party API downtime (for example Google, Stripe, or OpenAI), denial-of-service attacks, or power failures. The affected party will use reasonable efforts to resume performance as soon as practicable and will notify the other party without undue delay. Payment obligations are not excused by force-majeure events except to the extent the event actually prevents payment.
12. Termination
We may suspend or terminate your account if you violate these terms or engage in fraudulent activity. You may close your account at any time from your account settings or by contacting support. Upon termination your data will be deleted after thirty (30) days.
13. Governing Law and Jurisdiction
These terms and any dispute or claim arising out of or in connection with them or their subject matter are governed by, and construed in accordance with, the laws of the Kingdom of Spain, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods.
For customers acting in the course of a trade, business, craft, or profession (B2B), the competent courts of the city of Barcelona, Spain, have exclusive jurisdiction to settle any dispute or claim.
If you are a consumer habitually resident in the European Union, you retain the right under Regulation (EC) No 593/2008 (Rome I) and Regulation (EU) No 1215/2012 (Brussels I recast) to the protection of the mandatory provisions of the law of your country of residence, and you may also bring proceedings in the courts of your country of residence. The European Commission provides an online dispute-resolution platform accessible at ec.europa.eu/consumers/odr.
14. Changes to Terms
We may update these terms from time to time. We will notify you of material changes via email or through the Service at least thirty (30) days before they take effect where the change is adverse to you, unless a shorter period is required by law. Continued use after changes take effect constitutes acceptance of the updated terms; if you do not agree, you may close your account before the effective date at no further cost.
